Terms of Service
Last updated: October 20, 2026
These Terms of Service ("Terms") govern your access to and use of the websites, software and services (the "Services") offered by Tranki S.A.S., a company organized under the laws of Mexico ("Tranki," "we," "us" or "our"), to customers in the United States.
By creating an account, starting a trial, accepting a proposal or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind it, and "you" refers to that organization. The Services are intended for businesses; you must be at least 18 years old to use them.
1. The Services
1.1 Subscription plans
Our subscription plans (such as Tranki Informador, Tranki Agendador and Tranki CRMonia) are AI automations billed monthly. They connect to WhatsApp through Meta's official WhatsApp Business Platform and, depending on the plan, to Google Calendar and other tools you authorize.
1.2 Custom AI agents
We also design, build and operate custom AI agents, including those listed in our catalog at tranki.ai/agents and our Tranki Personalizado service. Prices shown as "from" are starting prices. The scope, deliverables, timeline, fees and payment terms of each custom project are defined in a written proposal. If a proposal conflicts with these Terms, the proposal controls for that project.
1.3 Changes
We may improve, modify or discontinue features of the Services. If a change materially reduces the functionality of a paid plan, we will notify you in advance when reasonably possible.
2. Your account
You agree to provide accurate information, keep your credentials confidential and notify us promptly of any unauthorized use. You are responsible for all activity under your account, including activity by users you invite.
3. Fees and payment
- Currency. Prices are shown in US dollars (USD).
- Billing. Subscription fees are billed monthly in advance. Payments are processed by Stripe; we do not store full card numbers.
- Automatic renewal. Subscriptions renew automatically every month at the then-current price until you cancel. By subscribing, you authorize us and Stripe to charge your payment method on each renewal date. We will notify you before any price change takes effect.
- Taxes. Applicable taxes, if any, are shown at checkout or on your invoice.
- Free trials. If a plan includes a free trial, its length, whether a payment method is required and when the first charge will occur are shown when you start the trial. You can cancel before the trial ends to avoid being charged.
- Failed payments. If a payment fails, we may suspend the Services until the balance is paid.
4. Cancellation and refunds
Our plans have no long-term contract. You can cancel at any time by writing to [email protected]. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid are non-refundable, and we do not provide credits for partial periods, except where required by law. Cancellation and refunds for custom projects follow the terms of the applicable proposal.
5. Acceptable use and messaging compliance
You agree to use the Services in compliance with all applicable laws and with the WhatsApp Business and Commerce Policies and Meta's platform terms. Because the Services send messages on your behalf, you are solely responsible for:
- Obtaining and documenting every consent required to contact your customers, including under the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act and state telemarketing and consumer protection laws.
- Honoring opt-out requests promptly.
- The content of the messages, knowledge and instructions you provide.
You may not use the Services to send spam or unsolicited messages; send illegal, deceptive, harassing or infringing content; impersonate any person; distribute malware; interfere with or circumvent the security or limits of the Services; reverse engineer the Services except as permitted by law; or make decisions with legal or similarly significant effects on individuals without appropriate human review.
6. AI-generated output
The Services use artificial intelligence, which can produce output that is inaccurate, incomplete or inappropriate. You are responsible for approving the knowledge sources and rules the agents use, for defining when a conversation must be handed to a person, and for reviewing decisions made based on AI output. AI output is not legal, medical, financial or other professional advice. Agents act only within the scope agreed with you.
7. Your data
You retain ownership of the data you and your customers submit to the Services ("Customer Data"). You grant us a limited license to host, process and transmit Customer Data solely to provide, maintain, secure and support the Services. You are responsible for having a lawful basis to provide Customer Data to us. We handle personal information as described in our Privacy Policy. We do not use Customer Data to train AI models.
8. Third-party services
The Services rely on third-party providers, including Meta (WhatsApp), Google, Stripe and AI model providers such as OpenAI, Anthropic and Google. Your use of those services is also subject to their terms. We are not responsible for third-party services, and changes they make may require us to change the Services.
9. Intellectual property
Tranki and its licensors own the Services, including the software, platform, templates and know-how used to deliver them. Except as stated in a proposal, these Terms do not transfer any intellectual property rights to you. Ownership of deliverables from custom projects is defined in the applicable proposal. If you send us feedback, we may use it without obligation to you.
10. Confidentiality
Each party will protect the other's non-public business information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free. We are not responsible for interruptions caused by the infrastructure of Meta (WhatsApp) or other third parties, or by misuse of the Services.
12. Limitation of liability
To the maximum extent permitted by law, Tranki will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Tranki's total liability arising out of or relating to the Services is limited to the amount you paid for the Services in the month preceding the event giving rise to the claim.
13. Indemnification
You will defend and indemnify Tranki against third-party claims arising from your messages, your Customer Data, your failure to obtain required consents or your violation of these Terms or applicable law.
14. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Services in a way that creates legal or security risk for us, Meta or others. Sections 7 through 15 survive termination.
15. Governing law and disputes
These Terms are governed by the federal laws of Mexico and the laws of Mexico City, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be resolved exclusively by the competent courts of Mexico City, and both parties waive any other jurisdiction that may apply to them, to the extent permitted by law.
16. Changes to these Terms
We may update these Terms. We will post the updated version on this page with a new date and, for material changes, notify active customers by email. Continued use of the Services after changes take effect means you accept them.
17. General
These Terms, together with any proposal and our Privacy Policy, are the entire agreement between you and Tranki regarding the Services. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. Neither party is liable for delays caused by events beyond its reasonable control.
